THE COMPANY:

GEM is a Maine based company. The GEM team is comprised of a group of talented problem solvers and software developers that includes internet entrepreneurs, data analysts, evaluation experts, programmers, and individuals with expertise in education, quality improvement and health care. Corporate shares are held equally by Gary Seekins of Kennebunk, GEM's President, Chief Technology Officer, and contact for all Contracts; Ed Anthonis Jr. of Searsport, its Executive Vice President and CFO, and Dr. George S. Smith, of Winthrop, Vice President and principal contact for New Product Development.

QUALIFICATIONS OF PERSONNEL:

Gary Seekins, President
Gary's background is in education and telecommunications. He was a highly successful teacher, administrator and Director of Technology, overseeing the early transition of his school system from one with a few stand-alone computers to one with a district-wide intranet. Gary did pioneering work in electronic portfolio development, integrating computers into the art curriculum and school networks. As an early Internet entrepreneur, he was one of the Founding Directors and Executive Vice President of cyberTours, which at the time of its sale in 1999 was the largest independent rural Internet Service Provider (ISP) in the United States. On the sale of cyberTours, Gary refocused his energy and expansive knowledge of telecommunication infrastructure on Educational Technologies by co-founding GEM Software Development.

Ed Anthonis, Executive Vice President and CFO
Ed's background is in the Elder Care industry where he was responsible for acquisition and large scale revitalization and improvement of Skilled Level I nursing homes and retirement centers. Ed was an early pioneer of computerization and "True Unit Dosage" application of medications, and was the first to pilot an electronic Medicaid billing system in Missouri where he subsequently was hired as a quality consultant for improvement of deficient health care facilities. Ed also has considerable experience in the petroleum industry. Since moving to Maine he has worked as a Special Education Educator and a Vocational Educator and was responsible for developing Electronic Portfolios for students at Waldo Regional Technical College. Ed is responsible for sales, and management of the GEM proprietary product line.

George S. Smith, Ph.D., Vice President New Business Development
In the course of his career George has contributed to several industries including Education, Labor, Health Care, Elder Care, Manufacturing, Information Technology and Criminal Justice. He specializes in program quality improvement and brings the analytical tools used in that discipline to a variety of problems. Among other things he developed a "quality index" as a means of collapsing data from 37 clinical quality nursing home indicators into a single meaningful number. Using Activity Based Costing (ABC) he attached a cost to paraprofessional turnover in Maine's state institutions, determined the quality costs of different methods of purchasing, attached a cost to a nursing home resident falling and determined the annual cost of food waste in nursing homes. Using statistical process control techniques he developed algorithms to measure agent performance in inbound call centers, developed comparative performance profiles for school districts in Maine, and developed analytic methods for classifying jail inmates to least restrictive settings. George holds a Ph.D. in Sociology from The University of Chicago. He is also a journeyman machinist. Dr. Smith's role is to work with new clients to gain an understanding of what they want to accomplish and to convert their needs into language GEM programmers can transform to develop client web-based applications.
